1. Acceptance of Terms

By accessing or using Proqura, you agree to be bound by these Terms of Service. If you are using Proqura on behalf of a company, you represent that you are authorized to bind that company to these terms.

2. Description of Service

Proqura is a cloud-based procurement and inventory management system that enables businesses to:

  • Manage indents
  • Create and track purchase orders
  • Maintain vendor records
  • Track inventory
  • Record payment references (for record purposes only)

Proqura does not process payments.

3. Account Responsibilities

Users agree to:

  • Provide accurate account information
  • Maintain confidentiality of login credentials
  • Use the platform for lawful business purposes only
  • Ensure internal authorization for employees using the system

The business account owner is responsible for all activity under its account.

4. Acceptable Use

Users may not:

  • Use Proqura for illegal activities
  • Attempt to hack, disrupt, or reverse engineer the platform
  • Upload malicious code
  • Access other customers' data

5. Data Ownership

All procurement, vendor, and business data entered into Proqura remains the property of the respective customer.

Proqura retains ownership of:

  • Software
  • Platform design
  • Source code
  • Branding
  • Intellectual property

6. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted availability. We may perform maintenance, update features, or modify functionality.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Proqura is provided "as is"
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by the customer in the previous 12 months

8. Indemnification

Users agree to indemnify and hold Proqura harmless from claims arising out of misuse of the platform, violation of laws, or breach of these Terms.

9. Termination

We may suspend or terminate access if:

  • These Terms are violated
  • The account is used for unlawful purposes
  • Required by law

Customers may terminate by discontinuing use and requesting account deletion.

10. Governing Law

These Terms shall be governed by the laws of India. Disputes shall be subject to the jurisdiction of courts in India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the service constitutes acceptance of updated Terms.
